Terms and Conditions for PHA Technology Licensing


These Terms and Conditions (“Terms”) govern the licensing of the Precision Health Alliance (“PHA”) technology, including the Preventative Health AI License and Medical Assistive AI License. By accessing or using the licensed products, you (“Licensee”) agree to comply with and be bound by these Terms. If you do not agree with these Terms, do not use the licensed products.

License Types

  1. PHA Personal Practitioner License
    • This license is designed for individual Health or Medical Practitioners who intend to use PHA technology within their own personal business. It is strictly for solo use and cannot be used in a medical practice or healthcare company setting. This license allows practitioners to integrate PHA’s AI-driven lifestyle and preventative health solutions into their practice, providing personalized health insights and recommendations to their clients. Practitioners can utilize the Shae.ai App and Coaching Portal to enhance their services but must not use this license in any collaborative or multi-provider environment. Use in a clinic or organizational setting requires the appropriate license.
  2. PHA Medical Practice License
    • This license is intended for medical and health clinics that have multiple providers and offer local patient visits for health or medical services. The Medical Practice License permits the use of PHA technology across various practitioners within a single clinic location. It enables clinics to leverage the Shae.ai App and Coaching Portal to deliver AI-driven health insights and preventative health strategies to their patients. This license is ideal for practices aiming to integrate advanced AI technology to enhance patient care and operational efficiency.
  3. Medical/Healthcare Company License
    • This license is suitable for larger healthcare organizations with multiple providers and clinics serving larger regions either in-person or virtually. The Medical/Healthcare Company License supports extensive use of PHA’s technology across multiple locations and providers, enabling comprehensive deployment of AI-driven health and medical solutions. It allows for the integration of PHA’s technology to manage large patient populations, offering scalable solutions for both in-person and virtual healthcare services. This license is designed for organizations looking to implement cutting-edge AI technology to improve patient outcomes and streamline healthcare delivery on a larger scale.

Licensed Products

  1. Preventative Health AI License
    • The Preventative Health AI License offers evidence-based, scientifically validated, AI-driven Lifestyle Medicine services. It provides patients with personalized health insights and recommendations through the Shae.ai App and enables Health Professionals to access these insights via a Coaching Portal. This license covers various aspects of health, including nutrition, sleep, stress, mood, activity, and overall well-being. It is designed to support proactive health management by delivering tailored advice and actionable steps to improve lifestyle and health outcomes.
  2. Medical Assistive AI License
    • The Medical Assistive AI License includes all the features and functions of the Preventative Health AI License but extends its capabilities to include medical data uploads and AI-driven data interpretation. This license supports the integration of patient lab data, genetics data, and other medical information. It offers AI-assistant services for real-time voice and text conversations with health or medical professionals, providing support for health and medical risk assessments, provisional and differential diagnoses, recommended tests, patient interventions (including medications and supplements), and other medical or lifestyle considerations. This license is designed for healthcare providers seeking comprehensive AI support to enhance clinical decision-making and patient care.

License Grant

Subject to these Terms, PHA grants the Licensee a non-exclusive, non-transferable, revocable license to use the licensed products solely for the intended purpose specified in the applicable license type.


The Licensee shall not:

  1. Copy, modify, or create derivative works based on the licensed products.
  2. Distribute, sell, lease, or sublicense the licensed products to any third party.
  3. Reverse engineer, decompile, or disassemble the licensed products.
  4. Use the licensed products in any manner that violates any applicable laws or regulations.
  5. Use a Personal Practitioner License in a medical practice or healthcare company setting. Use in such settings requires the appropriate license.

Payment and Fees

Licensee agrees to pay all applicable fees for the licensed products. All payments are non-refundable. Payment terms and policies as outlined on the Precision Health Alliance website Payment Policy apply.

Term and Termination

This license is effective upon payment of applicable fees and acceptance of these Terms and will continue until terminated by either party. PHA may terminate this license at any time if the Licensee breaches any provision of these Terms. Upon termination, the Licensee must cease all use of the licensed products and destroy all copies in their possession or control.

Intellectual Property

All intellectual property rights in and to the licensed products, including all modifications, enhancements, and derivatives thereof, are and shall remain the exclusive property of PHA or its licensors. The Licensee shall not claim any ownership rights in the licensed products.


The Licensee agrees to maintain the confidentiality of any non-public information provided by PHA and to use such information only as necessary for the use of the licensed products in accordance with these Terms.

Disclaimer of Warranties

The licensed products are provided “as is” without any warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. PHA does not warrant that the licensed products will be uninterrupted or error-free.

Limitation of Liability

In no event shall PHA be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) the Licensee’s use or inability to use the licensed products; (b) any unauthorized access to or use of PHA’s servers or any personal information stored therein; (c) any interruption or cessation of transmission to or from the licensed products; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the licensed products by any third party; or (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the licensed products, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not PHA has been informed of the possibility of such damage.


The Licensee agrees to indemnify, defend, and hold harmless PHA and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with the Licensee’s access to or use of the licensed products or the Licensee’s violation of these Terms.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PHA is incorporated, without regard to its conflict of laws principles. Any disputes arising out of or in connection with these Terms shall be resolved through binding arbitration conducted in the jurisdiction where PHA is located.

Changes to Terms

PHA reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting the revised Terms on the Precision Health Alliance website. The Licensee’s continued use of the licensed products after the posting of any changes constitutes acceptance of those changes.
